Terms of Use — Vyzma.ai

This is a starting-draft Terms of Use for the Vyzma.ai marketing site. It should be reviewed and adapted by counsel before Vyzma relies on it for commercial disputes. Client engagements, statements of work, and product terms for Agriva / FireOS are governed by separately-signed agreements, not by this document.

1. Acceptance

By accessing or using the Vyzma.ai website (the “Site”), you agree to be bound by these Terms of Use (“Terms”) and by our Privacy Policy. If you do not agree, please do not use the Site.

The Site is operated by Vyzma AI Private Limited, a company incorporated in India, with its registered office at Kokaraya Business Synergy, No 51, 5th Floor, 5th Main, 5th Block, Jayanagar, Bengaluru — 560041, Karnataka, India (“Vyzma”, “we”, “us” or “our”).

2. What the Site is (and isn’t)

The Site is a marketing website that describes Vyzma’s work as an AI product studio, links to our products, and provides ways to contact us or book a call. The Site is not:

an offer to enter into a contract;
professional, legal, financial, medical, engineering or investment advice;
a substitute for a signed engagement letter, statement of work, or product-specific agreement.

Any engagement between you and Vyzma is governed exclusively by a separately-signed written agreement. Our own products (currently Agriva and FireOS) have their own terms of service.

3. Permitted Use

You may access and use the Site for lawful personal or business purposes, including evaluating whether Vyzma is a good fit for a project you are considering. You agree not to:

use the Site in any way that violates applicable law or regulation;
attempt to gain unauthorised access to the Site, its servers, or related systems;
interfere with, disrupt or place undue load on the Site (including by scraping at abusive rates);
upload or transmit any material that is unlawful, harmful, defamatory, infringing, or contains malware;
impersonate any person or misrepresent your affiliation with any person or entity;
use the Site to send unsolicited commercial communications.

4. Intellectual Property

The Site and its contents — including text, graphics, logos, images, and code — are owned by or licensed to Vyzma and are protected by Indian and international intellectual-property laws. You may view and share the Site for non-commercial reference, but you must not copy, adapt, republish or exploit the Site or its contents commercially without our prior written consent, except as expressly permitted by law.

“Vyzma”, “Vyzma.ai”, “Agriva” and “FireOS” are trademarks of Vyzma AI Private Limited. All other trademarks referenced on the Site are the property of their respective owners.

5. Third-Party Links and Services

The Site links to third-party websites and services (for example, our product sites and the Calendly booking tool). We do not control these third parties and are not responsible for their content, terms or practices. Your interactions with them are governed by their own terms.

6. Disclaimers

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Vyzma disclaims all warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the Site is accurate, complete or current.

7. Limitation of Liability

To the fullest extent permitted by law, Vyzma, its directors, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenues, data, goodwill or business opportunity, arising out of or in connection with your use of the Site — whether based in contract, tort, statute or otherwise, and whether or not Vyzma has been advised of the possibility of such damages.

Nothing in these Terms limits liability which cannot be excluded or limited under applicable law.

8. Indemnity

You agree to indemnify and hold harmless Vyzma and its directors, employees, agents and affiliates from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your unlawful or wrongful use of the Site.

9. Privacy

Our processing of personal data through the Site is described in our Privacy Policy, which forms part of these Terms.

10. Changes to the Site or these Terms

We may change or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time; the “Last updated” date at the top will reflect the most recent change. Continued use of the Site after an update constitutes acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site, subject to any right you may have under applicable consumer-protection law to bring proceedings in the courts of your place of residence.
